End User License Agreement

Agreement to Terms

This End User License Agreement ("Agreement") is a legal agreement between you ("User" or "you") and National Cartage Ltd. ("Company," "we," "our," or "us"), a corporation registered in Saskatchewan, Canada, for the use of our freight management system and related services (the "Service").

By accessing or using the Service, you acknowledge that you have read, understood, and agree to be bound by this Agreement. If you do not agree to these terms, you must not access or use the Service.

Description of Service

The Service is a freight management system that provides:

  • Freight order processing and tracking
  • Manifest and trip planning
  • Pricing calculations and rate management
  • Invoicing and accounts receivable management
  • Accounts payable and vendor management
  • Equipment and fleet management
  • Employee management and payroll tracking
  • Integration with third-party accounting services
  • Payment processing capabilities

License Grant

Subject to your compliance with this Agreement, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service solely for your internal business purposes. This license does not include the right to sublicense, modify, distribute, or create derivative works based on the Service.

User Accounts

To use certain features of the Service, you must create an account. You agree to:

  • Provide accurate and complete registration information
  • Maintain the security and confidentiality of your login credentials
  • Promptly notify us of any unauthorized use of your account
  • Accept responsibility for all activities that occur under your account

We reserve the right to suspend or terminate accounts that violate this Agreement or are used for unauthorized purposes.

Acceptable Use

You agree not to use the Service to:

  • Violate any applicable laws, regulations, or third-party rights
  • Upload or transmit viruses, malware, or other malicious code
  • Attempt to gain unauthorized access to any part of the Service
  • Interfere with or disrupt the Service or its infrastructure
  • Collect or harvest user data without authorization
  • Use the Service for any fraudulent or deceptive purposes
  • Reverse engineer, decompile, or disassemble any part of the Service
  • Resell, sublicense, or commercially exploit the Service without authorization

Third-Party Services

The Service integrates with third-party services including but not limited to Intuit QuickBooks Online, Stripe, and other payment and business service providers. Your use of these third-party services is subject to their respective terms and conditions.

We are not responsible for the availability, accuracy, or content of third-party services, and we do not endorse or assume liability for any third-party services or their providers.

Intellectual Property

The Service and its original content, features, and functionality are owned by National Cartage Ltd. and are protected by Canadian and international copyright, trademark, patent, trade secret, and other intellectual property laws.

You retain ownership of any data you input into the Service. By using the Service, you grant us a limited license to use, store, and process your data solely for the purpose of providing the Service to you.

Data and Privacy

Our collection and use of personal information in connection with the Service is described in our Privacy Policy, which is incorporated into this Agreement by reference. By using the Service, you consent to such collection and use.

Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR COURSE OF PERFORMANCE. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, OR THAT DEFECTS WILL BE CORRECTED.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL NATIONAL CARTAGE LTD., ITS DIRECTORS, EMPLOYEES, PARTNERS, AGENTS, SUPPLIERS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM (I) YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE SERVICE; (II) ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE SERVICE; (III) ANY CONTENT OBTAINED FROM THE SERVICE; OR (IV) UNAUTHORIZED ACCESS, USE, OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT.

Indemnification

You agree to defend, indemnify, and hold harmless National Cartage Ltd. and its officers, directors, employees, agents, and affiliates from and against any claims, damages, obligations, losses, liabilities, costs, or debt arising from your use of the Service, your violation of this Agreement, or your violation of any rights of a third party.

Termination

We may terminate or suspend your access to the Service immediately, without prior notice or liability, for any reason, including without limitation if you breach this Agreement.

Upon termination, your right to use the Service will immediately cease. If you wish to terminate your account, you may do so by contacting us. All provisions of this Agreement which by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the Province of Saskatchewan, Canada, without regard to its conflict of law provisions. Any disputes arising under or in connection with this Agreement shall be subject to the exclusive jurisdiction of the courts located in Saskatchewan, Canada.

Changes to This Agreement

We reserve the right to modify or replace this Agreement at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion. Your continued use of the Service after any changes indicates your acceptance of the modified Agreement.

Severability

If any provision of this Agreement is held to be invalid or unenforceable, the remaining provisions shall continue in full force and effect. The invalid or unenforceable provision shall be modified to the minimum extent necessary to make it valid and enforceable.

Entire Agreement

This Agreement, together with the Privacy Policy, constitutes the entire agreement between you and National Cartage Ltd. regarding your use of the Service and supersedes all prior and contemporaneous agreements, proposals, or representations, written or oral, concerning the subject matter hereof.
